1. Nature of the Service

The Service is a subscription-based data platform that provides technical reference information, specifications, service data, and related content for use by qualified professionals in the field. Some content may be accessible at no cost; other content requires a paid subscription.

The Service is intended as a supplementary reference tool only. It is not a substitute for professional judgment, hands-on inspection, local building codes, manufacturer specifications, or any other authoritative source.

2. No Warranty

The Service, including all data, content, calculations, specifications, and information provided through the platform, is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

Sentrius Labs and Quantag expressly disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free.
• Any warranty regarding the accuracy, reliability, completeness, or currentness of any data, content, or information available through the Service.

3. No Claim to Accuracy or Correctness

Sentrius Labs and Quantag make no claim, representation, or guarantee as to the accuracy, correctness, completeness, or reliability of any information, data, specifications, or content provided through the Service.

Information on the platform may contain errors, omissions, outdated material, or inaccuracies. We do not warrant that defects or errors will be corrected. Users should independently verify all information before relying on it for any purpose.

4. Technician and End-User Responsibility

Any technician, contractor, engineer, or other professional accessing or relying upon information from the Service is solely and exclusively responsible for:

• Independently verifying all data, specifications, calculations, and information obtained from the Service before applying it in the field or making any decisions based upon it.
• Ensuring compliance with all applicable local, state, provincial, and federal building codes, safety regulations, and legal requirements.
• Consulting and adhering to Original Equipment Manufacturer (OEM) guidelines, installation manuals, and best practices for all equipment being serviced, installed, maintained, or repaired.
• Exercising professional judgment and due diligence appropriate to their trade, license, and scope of work.
• Confirming that all work performed meets the standards required by their licensing authority and jurisdiction.

The Company assumes no responsibility for any actions taken or decisions made based on information provided through the Service.

5. Local Codes and OEM Guidelines

Users must always refer to and comply with:

• All applicable local, state, provincial, and federal building codes and regulations.
• All applicable safety standards and industry regulations (including but not limited to OSHA, CSA, ASHRAE, NEC, and equivalent bodies).
• OEM manufacturer guidelines, installation instructions, service bulletins, and technical documentation.

Where any information on the Service conflicts with local codes, regulations, or OEM guidelines, the local codes, regulations, and OEM guidelines shall always take precedence.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Sentrius Labs, Quantag, or their officers, directors, employees, agents, affiliates, successors, or assigns be liable for:

• Any direct, indirect, incidental, special, consequential, or punitive damages.
• Any loss of profits, revenue, data, goodwill, or other intangible losses.
• Any personal injury, property damage, or death.
• Any damages arising from reliance on information provided through the Service.
• Any damages resulting from errors, omissions, or inaccuracies in the content.
• Any damages arising from unauthorized access to or alteration of your data or transmissions.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise), even if the Company has been advised of the possibility of such damages.

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

7. Indemnification

You agree to indemnify, defend, and hold harmless Sentrius Labs, Quantag, and their respective officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of or reliance on the Service.
• Any work performed based on information obtained from the Service.
• Your violation of these Terms.
• Your violation of any applicable law, regulation, or code.
• Any claim by a third party related to your use of the Service or work performed based on Service content.

8. Subscription and Billing

8.1 Free and Paid Tiers

The Service may offer both free and paid subscription tiers. Access to certain features, data, or content may require a paid subscription.

8.2 Billing Cycle

Paid subscriptions are billed on a monthly recurring basis. You authorize us to charge your designated payment method at the beginning of each billing cycle.

8.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. Billing for the current month is not refunded upon cancellation. You will retain access to paid features until the end of the billing period for which you have already been charged.

8.4 Price Changes

We reserve the right to modify subscription pricing at any time. We will provide reasonable notice (at least 30 days) before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8.5 Failed Payments

If a payment fails, we may suspend access to paid features until the outstanding balance is resolved. We are not responsible for any consequences resulting from interrupted access due to payment failures.

8.6 Free Starter Tier

The free Starter tier is limited to one account per individual, business, or physical location. We may verify eligibility through email domain, phone number, company information, shipping address, or payment instrument. Duplicate signups, signups using disposable or unverifiable contact information, or attempts to circumvent the limit may be declined or removed at our discretion, without refund of any associated hardware costs.

9. Acceptable Use

You agree not to:

• Reproduce, redistribute, resell, or make available any content from the Service to third parties without our prior written consent.
• Use automated tools, bots, scrapers, or similar technology to extract data from the Service.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Share your account credentials with others or allow unauthorized access to your account.
• Circumvent any access controls, paywalls, or security features of the Service.

10. Intellectual Property

All content, data, software, trademarks, logos, and materials available through the Service are the property of Sentrius Labs, Quantag, or their licensors and are protected by applicable intellectual property laws. No license or right is granted to you except as expressly set forth in these Terms.

11. Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

13. Third-Party Links and Content

The Service may contain links to third-party websites or resources. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party sites. Access to third-party links is at your own risk.

14. Service Availability and Modifications

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time, with or without notice.
• Update, change, or remove content at our sole discretion.
• Perform maintenance that may temporarily interrupt access to the Service.

We are not liable for any modification, suspension, or discontinuation of the Service.

15. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. No refund will be issued for any remaining subscription period.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where the Company maintains its principal place of business, without regard to conflict of law principles. For users in the United States, disputes shall be subject to the jurisdiction of the courts in the state where the Company is incorporated. For users in Canada, disputes shall be subject to the jurisdiction of the courts in the province where the Company operates.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the courts, as applicable under the governing law.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly referenced herein, constitute the entire agreement between you and the Company regarding your use of the Service and supersede all prior agreements and understandings.

20. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

21. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, pandemics, or other force majeure events.
